Data room settings and white-label

Overview of room-wide settings: content and downloads, security, Q&A, clean-up — plus white-label that shows your name to guests. Understand room, participant and share-link levels.

Settings control how the whole data room behaves: what guests can download, whether views are watermarked, whether an NDA is required, and whether your name appears instead of the Arcili logo. The dialog gathers every room-wide choice in one place.

Important

The data room is an add-on module. If it is not enabled, you land on a locked page reading "Data rooms are not enabled".

1Open Data room settings

Open the room and choose Settings from the menu at the top. The dialog is titled Data room settings with the hint "Applies to the whole room. Per-participant settings live under Sharing — per-link choices are set when the link is created."

That is the key distinction: every choice lives at one of three levels.

  • Room level — this dialog (Settings) applies to everyone.
  • Participant level — set under Sharing, per person.
  • Share-link level — set when the link is created, per link.

2Content and downloads

The Content & downloads section controls what can leave the room and what guests see.

  • Allow downloads — when off, participants can only view documents in the app, not download them. Default: on.
  • Bulk download (zip) — let guests download all documents as a single zip archive.
  • Index numbering — shows 1.2.3 numbers in the file list, so purchase agreements can reference the index. Default: on.
  • Emails to guests — guests are notified about new documents and Q&A replies. Default: on. Can be turned off per participant.
  • AI assistant — you can ask AI questions about the room's PDF documents (your team only, not guests). Default: off.
  • Checklist visible to guests — guests see the checklist and its status (read-only). Default: on.

3Security

The Security section covers watermark, NDA and signing.

  • Watermark on viewing — guests' document views are stamped with their email, so screenshots can be traced. Default: on.
  • Require terms acceptance (NDA) — guests must accept confidentiality terms before the content is shown. Can be overridden per participant or share link.
  • Terms text — if the field is empty, the default text is shown. Write your own and click Save text.
  • Require digital signing — acceptance requires an email code plus a name signature instead of just a checkbox. Default: off.

4Questions and answers

The Questions & answers section controls the Q&A module.

  • Q&A module — participants can ask questions about the material; everything is logged in the activity log. Default: off.
  • Private threads — guests only see their own questions, e.g. so bidders don't see each other's. Default: on.

5White-label — show your name to guests

The White-label section holds Show your name to guests. When on, guest pages show your company name instead of the Arcili logo — the guest shell reads "Powered by [your name]".

Important

White-label Requires tenant admin and applies to all your data rooms, not just this one.

6Clean-up and GDPR

The Clean-up & GDPR section controls retention. "Empty trash after" is chosen from fixed values (7, 14, 30, 60 or 90 days; default 30 days), and "Permanently delete archived rooms after" is chosen from fixed values (6, 12, 24, 36 or 60 months, or Never; default Never). On permanent deletion all content is removed while the activity log is kept as documentation.

The same menu also lets you rename the room and archive or reactivate it.
